Nature Home Holding Company Limited, an investment holding company, manufactures and sells home decoration products in the People’s Republic of China, Peru, and the United States. The company offers laminated floorings, engineered and solid wood floorings, bamboo and cork floorings, and wooden doors primarily under the Nature brand name; wardrobes and cabinets under the Nature Kolani brand name; and wall decoration materials under the Geko brand name. It also manufactures WPC flooring and wall paper products; trades in flooring, wall papers, and home decoration products; leases properties and equipment; and provides home decoration services. The company sells its products to retail consumers through a network of distributors and retail stores. As of December 31, 2018, it operated 3,583 flooring stores, 583 wooden doors stores, and 106 wardrobe and cabinet stores. The company was formerly known as Nature Flooring Holding Company Limited and changed its name to Nature Home Holding Company Limited in June 2014. Nature Home Holding Company Limited is headquartered in Foshan, the People’s Republic of China. Nature Home Holding Company Limited is a subsidiary of Freewings Development Co., Ltd.

Nature Home Holding Company Limited Enters into the Banking Facilities Agreement with China Guangfa Bank, Foshan Branch

The Board announced that on 17 May 2019, Nature Home Holding Company Limited entered into the Banking Facilities Agreement with China Guangfa Bank, Foshan Branch (as lender), pursuant to which China Guangfa Bank agreed to make available to Nature Home China the Loan Facilities up to an aggregate principal amount of RMB 130,000,000. Not higher than 130% of the benchmark interest rate to be charged for the same level of loans in RMB as announced by the People's Bank of China on the relevant date(s) of drawdown made under the Banking Facilities Agreement. One year commencing from 17 May 2019 and expiring on 16 May 2020 (both days inclusive).

Nature Home Holding Company Limited announced consolidated financial results for the year ended December 31, 2018. For the period, the company reported revenue of RMB 2,918,016,000 against RMB 2,550,646,000 a year ago. Profit from operations was RMB 210,235,000 against RMB 143,328,000 a year ago. Nature Home Holding Company Limited Announces Licensing Agreement

Nature Home Holding Company Limited announced that on 29 March 2019, Nature Gerui entered into the Lease Agreement with Dajia Property Management in respect of the lease of the Properties, being the land and properties located next to No. 163, Qiyong Road, Dayong Town, Zhongshan, Guangdong Province, the PRC with a total leasing area of approximately 26,200 square meters. The Properties will be used by Nature Gerui for its production and operation activities. The Lease Agreement is for a term of three years commencing from 1 April 2019 and expiring on 31 March 2022 (both days inclusive) and the monthly rent payable by Nature Gerui under the Lease Agreement is RMB 324,155. The Board announced that on 29 March 2019, Nature Home China entered into the Trademarks Licensing Agreement with Youzong Home, pursuant to which Youzong Home is granted the Usage Right to use the Trademarks in the PRC in connection with the production, distribution and sale of the Licensed Products (being wood baseboards). Under the Trademarks Licensing Agreement, the Usage Fee equivalent to 5% of the net sale value of the Licensed Products being sold is payable by Youzong Home to Nature Home China or its affiliated companies for the grant of the Usage Right. The Trademarks Licensing Agreement shall be for a period of twenty one months commencing from 1 April 2019 and expiring on 31 December 2020 (both days inclusive). The annual caps for the Usage Fee payable by Youzong Home to Nature Home China under the Trademarks Licensing Agreement for the period commencing from 1 April 2019 and expiring on 31 December 2019; and for the financial year ending 31 December 2020 are proposed to be RMB 5,000,000 and RMB 7,500,000, respectively. Nature Gerui, being the lessee under the Lease Agreement, is a company incorporated in the PRC and is a non wholly-owned subsidiary of the Company. Nature Gerui is principally engaged in the manufacturing and sales of vinyl flooring products in the PRC and has planned to expand its scale of production. The Company considers that the Lease Agreement could (i) fix the amount of the rent payable by Nature Gerui in the medium term and avoid substantial increase in rent payable by Nature Gerui in accordance with the expected appreciation in the value of the Properties; and (ii) provide Nature Gerui with the stability in its production and operation activities in further renewal of the lease of the Properties. The Properties are a portion of the premises which Dajia Property Management rented from the landlords which are third parties independent of the Company and connected persons of the Company. The rent payable by Nature Gerui to Dajia Property Management under the Lease Agreement was determined with reference to the rent payable by Dajia Property Management under its lease agreements with the landlords, plus a margin which Nature Gerui and Dajia Property Management negotiated on an arm's length basis to reflect the increase in rental value since Dajia Property Management entered into the lease agreements with the landlords. When determining such increase in rental value of the Properties, Nature Gerui and Dajia Property Management have taken into account the average increase in rental value in the real property market in the vicinity of the Properties.
