GMS Inc. distributes wallboards, suspended ceilings systems, and related construction products in the United States and Canada. The company offers wallboard products; and ceilings products, including suspended mineral fibers, soft fibers, and metal ceiling systems primarily used in offices, hotels, hospitals, retail facilities, schools, and various other commercial and institutional buildings. It also provides steel framing products, such as steel tracks, studs, and various other steel products used to frame the interior walls of a commercial or institutional building; and insulation, ready-mix joint compound, and various other interior construction products, as well as ancillary products comprising tools and safety products. In addition, the company distributes drywall, lumber, commercial, and residential building materials. As of April 30, 2018, it operated 214 branches across 42 states and the District of Columbia. The company also operates a network of approximately 240 distribution centers. The company was formerly known as GYP Holdings I Corp. and changed its name to GMS Inc. in July 2015. GMS Inc. was founded in 1971 and is headquartered in Tucker, Georgia.

GMS Inc. Announces Management Changes

The Board of Directors of GMS Inc. appointed Teri P. McClure as a director, effective April 23, 2019, to serve until the 2019 annual meeting of the Company's stockholders or until her earlier resignation or removal. The Board also appointed Ms. McClure to serve on the Compensation Committee and the Nominating and Corporate Governance Committee of the Board. The Board has determined that Ms. McClure is independent under the Corporate Governance Standards of the New York Stock Exchange and under the Company's Corporate Governance Guidelines. Ms. McClure, age 55, is the current Chief Human Resources Officer and Senior Vice President of Labor Relations at United Parcel Service Inc. Ms. McClure joined United Parcel Service Inc. in 1995 and has served in her current role since 2015. Prior to this, Ms. McClure held various executive roles at United Parcel Service Inc., including Senior Vice President of Global Human Resources and Labor, Chief Legal Officer and Senior Vice President of Human Resources, Corporate Secretary and Senior Vice President of Compliance & Public Affairs and General Counsel. In connection with its previously announced executive transition, it is anticipated that when the Chief Executive Officer role is transitioned from G. Michael Callahan, Jr. to John C. Turner, Jr. on August 2, 2019, or such earlier date as the Board determines, that Mr. Callahan will retire from the Board and Mr. Turner will be appointed to the Board.

GMS Inc. Announces Management Changes

GMS Inc. announced that Mike Callahan, President and Chief Executive Officer, has informed the Board of Directors of his decision to retire effective August 2, 2019. In addition, the Board has appointed John C. Turner, Jr. as President, effective May 1, 2019. Mr. Turner will assume the role of Chief Executive Officer at the time of Mr. Callahan’s retirement. Mr. Turner will join GMS from Dal-Tile Corporation, a subsidiary of Mohawk Industries Inc., where he currently serves as President, a position he has held since January 2012. Mr. Turner brings to GMS almost 30 years of industry experience and a broad range of expertise in operations, sales, customer service, distribution and logistics as well as strategic planning and M&A. He served as Chief Operating Officer from 2011 to 2012 and Senior Vice President of Operations from 2008 to 2011, where he had full responsibility for Dal-Tile’s Sales, Marketing, Manufacturing, Logistics, and Research & Development organizations.

Grants Management Systems Announces Board Changes

GMS Inc. announced the promotion of two current board members to aid the company in keeping up with current demands from recent growth and expansion. Kim Cosentino, has been promoted to the position of Director of Software Technical Support effective December 1, 2018. Effective February 1, 2019, Duane Scott has been promoted to the position of Director of Software Quality Assurance.
